About Paula
Paula is a corporate/commercial lawyer with over 10 years of experience in a diverse range of matters. Her practice focuses on mergers and acquisitions, joint ventures, commercial contracts, shareholders agreements, share purchase agreements, licensing agreements, corporate structuring and restructuring, and onshore and offshore business set up. She has advised members of UAE ruling families on the corporate restructuring of UAE entities, including the conversion of the legal type of existing entities and the incorporation of new entities.

Top Matters
- Acting for the buyer, a UAE based holding company, in the acquisition of a majority shareholding in an award-winning landscaping business in the UAE. Our involvement included performing a due diligence review as well as negotiating the Share Sale and Purchase Agreement and Shareholders Agreement.
- Acting for the seller, the Founder of The Espresso Lab, in establishing a strategic partnership with Shamal Holding, a Dubai-based global investment and asset manager, including negotiating the exit of minority shareholders, negotiating the Share Sale and Purchase Agreement and Shareholders Agreement with Shamal Holding.
- Drafting and negotiating a shareholder’s agreement and a subscription agreement in respect of the issuance of shares of a FMCG business in the UAE and subsequent allotment of those shares.
- Acting for an overseas buyer on the partial acquisition of a FMCG entity in the UAE which included a share option to acquire the remaining shareholding at a later stage. This mandate included advising on the target’s franchises across the GCC. The share option was eventually exercised, and advice was given with regards thereto.
- Acting for an overseas group on the entering into a joint venture with a predominant luxury retail UAE group and advising on the expansion of the UAE business into the GCC.
